1. Scope of Work
Lendova Digital will design, build, and launch the website package selected by the Client, as outlined in the current Lendova Digital pricing sheet (Founder's Launch Offer, limited to the first 10 clients). Any work beyond the selected package's included features (additional pages, custom integrations, ongoing content updates) will be quoted and agreed upon separately before work begins.
2. Domain & Hosting Ownership
The Client owns all domain names and hosting accounts associated with this project. Where Lendova Digital registers a domain on the Client's behalf, it is registered under the Client's name and contact information as the registrant of record, even if Lendova Digital's payment method is used at checkout.
- Domain registration cost is included in the package price, for the initial term selected at purchase.
- Auto-renewal is enabled by default. The Client is responsible for ensuring a valid payment method is on file at renewal, unless the Client has an active Lendova Care plan (Section 4), which includes renewal monitoring and reminders.
- Lendova Digital never holds a domain or hosting account in its own name on the Client's behalf beyond the initial setup.
3. Deliverables & Handoff
Upon final payment, the Client receives full access to the completed website, including admin/editor login credentials, connected accounts (analytics, Google Business Profile, booking or chatbot integrations), and, upon request, an exported copy of the underlying source code.
- Standard handoff timeline: within 3 business days of final payment or written request.
- Source code export (where applicable) is provided via GitHub repository transfer or a direct file export.
- Services Lendova Digital manages on the Client's behalf that are not part of the exported code (e.g. backend authentication, payment processing, AI features) will be clearly identified at handoff so the Client knows what requires separate setup to continue independently.
4. Lendova Care (Optional Monthly Plan)
Lendova Care is an optional, cancel-anytime monthly service in which Lendova Digital manages ongoing maintenance for the Client's website on the Client's behalf. Current price is listed on the Lendova Digital pricing sheet.
- Includes: routine updates, uptime and domain/hosting renewal monitoring, and minor content edits (scope defined at signup).
- The Client may decline Lendova Care and self-manage the site at any time — see Section 3 for what that requires.
- The Client may also cancel Lendova Care at any time going forward; cancellation does not affect ownership of the site, domain, or hosting, which remain the Client's regardless of plan status.
5. Payment Terms
A 50% deposit is due before work begins, with the remaining balance due before the site is published live or handed off. Custom-quoted projects follow the payment schedule stated in their individual quote. Prices reflect the Lendova Digital Founder's Launch Offer pricing sheet current as of the project start date, valid for the first 10 clients only. Standard pricing applies to all projects thereafter.
6. Revisions & Timeline
Each package includes revision rounds as described in the current pricing sheet. Standard turnaround times, measured from when Lendova Digital has received all required content (text, images, logo, etc.), are:
- Starter (up to 3 pages): 24–72 hours for first draft.
- Growth (up to 7 pages, integrations): 3–5 business days.
- Custom (advanced integrations, AI chatbot, booking, e-commerce): 1–2 weeks, scoped individually at quote.
7. Termination
Either party may terminate this engagement in writing. If terminated before completion, the Client is invoiced for work completed to date; any deposit beyond that amount is refunded. Because the Client owns the domain and hosting throughout, no separate transfer process is required if the engagement ends — access remains with the Client.
8. Monthly Plans & Commitment Periods
Lendova Digital's monthly service plans are offered on 3-month, 6-month, and 12-month commitment periods. The service tier (Essential, Growth, Premium) determines the services provided; the commitment length determines the monthly rate. Billing is monthly, and the commitment period begins on the date the Client's service agreement starts.
- The Client is billed monthly at the rate for the selected tier and commitment length.
- After the initial commitment period ends, service continues month-to-month unless a new commitment is agreed in writing.
- Month-to-month service may be cancelled under the standard notice requirement stated in this agreement, with no early-termination fee. [Notice period to be inserted following legal review.]
9. Early Cancellation
The Client may request cancellation before the initial commitment period ends. Because Lendova Digital may provide website development with little or no upfront cost to the Client, early cancellation during the initial commitment period may result in an early-termination fee. This provision exists so that substantial development work is not received and the recurring service immediately discontinued.
- Early-termination fee calculation: [to be inserted following legal review and prior to signature].
- Cancellation requests must be submitted in writing to contact.lendova@gmail.com.
- Cancellation does not affect the Client's ownership of the domain, hosting, or site content described in Sections 2 and 3.
10. Tier Upgrades
The Client may request an upgrade at any time — Essential to Growth, Essential to Premium, or Growth to Premium. Upon an accepted upgrade, the higher-tier services become available and future monthly billing changes to the applicable higher-tier rate.
- An upgrade does not restart the commitment period. The original commitment remains in effect unless the Client and Lendova Digital agree in writing to a new commitment.
- Example: a 12-month Growth agreement at $100/month upgraded to Premium at $150/month after 5 months leaves 7 months remaining on the original commitment.
- Where the billing system supports proration, the upgrade is prorated for the current billing cycle; otherwise the new rate begins with the next monthly invoice.
11. Tier Downgrades & Tier-Change Billing
The Client may request a downgrade. During an active commitment period, downgrades are subject to the terms of this agreement and may not be used to reduce or avoid the financial obligation created by the original commitment. Where a downgrade is permitted, it normally takes effect at the beginning of the next billing cycle.
- A downgrade does not cancel, shorten, or restart the commitment period.
- The lower-tier rate begins when the downgrade takes effect; previous months are not retroactively refunded unless expressly required by this agreement.
- Once the initial commitment period has ended and the Client is month-to-month, tier changes are more flexible and generally take effect at the next billing cycle.
By completing checkout for any Lendova Digital package or service, the Client electronically accepts this agreement in place of a handwritten signature. A copy is retained with the order record.
